Terms of Service

These Terms of Service ("Terms") govern your use of Mitis Media's services. By hiring Mitis Media, submitting a project inquiry, or signing a proposal, you agree to be bound by these Terms. Please read them carefully. If you have any questions, contact us before proceeding.
1. Overview of Services
Mitis Media provides the following services to small businesses and entrepreneurs:
- Website design and development
- Website maintenance and ongoing support
- Search engine optimization (SEO)
- Google Ads management
- Meta Ads (Facebook and Instagram) management
- Digital marketing consulting and support
By engaging Mitis Media for any of these services, you agree to the terms outlined in this document. These terms apply to all clients, whether on a one-time project or an ongoing monthly or yearly plan.
2. Quotes, Proposals, and Project Scope
All projects begin with a quote or proposal that outlines the scope of work, deliverables, timeline, and pricing. The agreed-upon scope is the basis for the project. Work that falls outside the original scope may result in additional charges.
Quotes are valid for 30 days from the date issued. Mitis Media reserves the right to adjust pricing if a project is delayed significantly due to client inaction or if the scope changes materially from the original agreement.
A project is considered started once a deposit or first payment has been received.
3. Client Responsibilities
To deliver your project on time and to a high standard, we rely on your cooperation. As a client, you are responsible for:
- Providing accurate and complete business information (name, address, services, hours, etc.)
- Supplying logos, photos, brand assets, and any other visual content you want used in your project
- Providing written content (copy) for your website pages, or approving content written by Mitis Media on your behalf
- Granting access to your domain registrar, hosting account, Google Business Profile, ad accounts, or other platforms as needed
- Responding to questions, reviewing drafts, and providing feedback within a reasonable timeframe
Delays caused by a client's failure to provide required materials or feedback may push back the project timeline. Mitis Media is not responsible for delays resulting from client inaction.
You represent that you have the legal right to use all content, images, and materials you provide to us, and that they do not infringe on any third-party rights.
4. Payment Terms
One-Time Projects
One-time projects (such as a new website build) typically require a deposit before work begins, with the remaining balance due upon project completion and before the final website is launched or transferred. Specific payment schedules will be outlined in your proposal.
Monthly Plans
Monthly maintenance, SEO, or ads management plans are billed on a recurring monthly basis. The first payment is due before services begin. Subsequent payments are due on the same date each month.
Yearly Plans
Yearly plans are billed in full at the start of the service period. Yearly pricing reflects a discount compared to the equivalent monthly rate.
Late Payments
If a payment is not received within 7 days of the due date, Mitis Media reserves the right to pause services until the account is brought current. Continued non-payment may result in termination of services.
Payment Methods
Payments are processed via Stripe or other agreed-upon methods. By providing payment information, you authorize Mitis Media to charge the agreed amount.
5. Revisions and Change Requests
Each project includes a reasonable number of revision rounds as outlined in your proposal or service agreement. Revisions refer to adjustments within the original agreed scope — such as changes to layout, colors, copy, or images.
Requests that expand the scope of the project (for example, adding new pages, features, or services not included in the original agreement) are considered change requests and may be quoted and billed separately.
Clients on active maintenance plans may submit revision and update requests as part of their plan. The scope of included updates will be defined in the plan description.
6. Website Maintenance Plans
Mitis Media offers ongoing website maintenance plans that may include, depending on the plan tier:
- Hosting and domain management
- Priority edits and content updates
- Performance monitoring and improvements
- Booking system, form, and third-party integration support
- Basic SEO maintenance
- Monthly analytics and reporting
- Strategy calls and consulting access
The specific inclusions for each plan are detailed in the plan description at the time of purchase. Maintenance plans do not include major redesigns or the development of entirely new features unless separately quoted.
Maintenance services are provided on a best-effort basis. Mitis Media will make reasonable efforts to complete requests within a timely manner but does not guarantee specific turnaround times unless otherwise agreed in writing.
7. Domain, Hosting, and Third-Party Platforms
Mitis Media may manage domain registration, hosting, and third-party platform accounts on your behalf. You remain the legal owner of your domain and any accounts registered in your name.
Third-party platforms (including but not limited to website builders, hosting providers, Google, Meta, and payment processors) have their own terms of service, pricing, and policies. Mitis Media is not responsible for changes made by these platforms, including price increases, feature changes, outages, or account suspensions caused by the platform's own policies.
If Mitis Media registers a domain or sets up hosting on your behalf, you are responsible for the associated costs unless otherwise specified in your plan. Upon request, account access and ownership can be transferred to you at any time.
8. Google Ads and Meta Ads — Ad Spend Disclaimer
Mitis Media's Google Ads and Meta Ads management fees cover the time and expertise required to set up, manage, and optimize your advertising campaigns. Ad spend — the money paid directly to Google or Meta to run your ads — is separate from and in addition to Mitis Media's management fee.
Ad spend is billed directly by Google or Meta to your payment method on file with those platforms. Mitis Media does not collect or hold ad spend funds on your behalf.
Mitis Media will work to optimize your campaigns for the best possible results, but does not guarantee specific outcomes such as a minimum number of clicks, leads, calls, or a specific return on ad spend. Advertising results depend on many factors outside our control, including your budget, industry competition, and market conditions.
9. SEO — Results Disclaimer
Search engine optimization is a long-term strategy. Mitis Media will implement industry-standard SEO practices to improve your website's visibility in search results, but we do not guarantee specific rankings, traffic levels, or lead volumes.
Search engine algorithms are controlled by Google and other third parties and can change at any time. Rankings fluctuate naturally and may be affected by factors outside our control, including algorithm updates, competitor activity, and changes to your website or business.
SEO results typically take several months to become measurable. Clients should approach SEO as a sustained investment rather than an immediate solution.
10. Cancellation
Monthly Plans
Monthly plans may be cancelled at any time with written notice (email is acceptable). Cancellation takes effect at the end of the current billing period. You will not be charged for the following month after notice is received.
Yearly Plans
Yearly plans may be cancelled with written notice. If cancelled before the end of the annual period, services will continue through the end of the paid period. Early cancellation does not entitle the client to a prorated refund for unused months unless otherwise specified in the refund policy below.
Project Work
If a client cancels a one-time project after work has begun, any deposit paid is non-refundable. If work has progressed beyond the deposit amount, the client may be invoiced for work completed to date.
11. Refund Policy
Mitis Media's general refund policy is as follows:
- Deposits on project work are non-refundable once work has begun.
- Monthly plan payments are non-refundable for the current billing period once services have been rendered.
- Yearly plan payments are non-refundable after the first 14 days of the service period, unless Mitis Media has failed to deliver the agreed services.
- If Mitis Media is unable to deliver the agreed services due to circumstances on our end, a prorated refund for undelivered work may be issued at our discretion.
Refund requests should be submitted in writing to [email protected]. Each request will be reviewed on a case-by-case basis.
12. Ownership of Content and Completed Work
Client-Provided Content
You retain full ownership of all content, images, logos, and materials you provide to Mitis Media. By providing these materials, you grant Mitis Media a license to use them solely for the purpose of delivering your project.
Completed Website and Deliverables
Upon receipt of full payment for a project, ownership of the completed website and its custom design elements transfers to you. You are free to use, modify, and maintain the website as you see fit.
Third-Party Components
Websites may include third-party themes, plugins, fonts, or platform components that are subject to their own licensing terms. Mitis Media will use properly licensed components, but ownership of those components remains with their respective creators.
Portfolio Use
Mitis Media reserves the right to display completed work in our portfolio and marketing materials unless the client requests otherwise in writing.
13. Limitation of Liability
Mitis Media provides services on a best-effort basis. To the fullest extent permitted by law, Mitis Media shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to lost revenue, lost data, or business interruption.
Our total liability to any client for any claim arising from our services shall not exceed the total amount paid by that client to Mitis Media in the three months preceding the claim.
Mitis Media is not responsible for issues caused by third-party platforms, hosting providers, domain registrars, or changes made to your website by you or any other party after project completion.
14. Changes to These Terms
Mitis Media may update these Terms of Service from time to time. When changes are made, the "Last Updated" date at the top of this page will be revised. Continued use of our services after any changes constitutes your acceptance of the updated terms.
For significant changes affecting active service agreements, we will make reasonable efforts to notify affected clients by email.
